We are looking for a skilled Corporate Associate to join our team in Buffalo, New York. In this role, you will provide legal counsel on a variety of corporate matters, including business formation, contract negotiations, mergers and acquisitions, and compliance strategies. Your expertise will play a crucial role in guiding clients through complex legal processes and ensuring their success in a dynamic business landscape.

Responsibilities:
• Provide legal advice and representation on business formation and general corporate matters.
• Draft, review, and negotiate contracts and agreements, including shareholder agreements, operating agreements, partnership agreements, SaaS agreements, and commercial leases.
• Assist with mergers and acquisitions by conducting due diligence, preparing transactional documents, and supporting closing procedures.
• Develop and implement strategies for corporate compliance and risk management.
• Negotiate and draft commercial contracts tailored to diverse client needs.
• Stay informed about changes in laws and regulations affecting business clients.
• Build and maintain strong relationships with clients by delivering personalized legal solutions.
• Conduct thorough legal research to support client needs and case strategies.
• Collaborate with colleagues to provide comprehensive legal services and ensure client satisfaction.• Juris Doctor (JD) degree from an accredited law school.
• Licensed to practice law in the state of New York.
• 3-5 years of experience in business law, with a focus on corporate transactions.
• Strong background in mergers and acquisitions.
• Demonstrated ability to handle complex legal issues independently.
• Exceptional analytical, negotiation, and communication skills.
• Attention to detail with the ability to work both independently and collaboratively.
• Proficiency in legal research tools such as Westlaw or LexisNexis.
